Independent-Contract Tutor:   Contract Agreement

The following outlines this agreement made between

Tutoring Direct and (Your Name)
as an independent contractor herein referred to as “Tutor.”

As a Tutor for Tutoring Direct you will be held responsible for:

• Planning and implementing an appropriate course of study for the student assigned;
• Contacting and scheduling sessions with the student’s parents/guardians;
• Maintaining and rendering (1) the Daily Activities Report, (2) the Monthly Invoice, and (3) a monthly progress report for each student.   These forms, which Tutor will receive in Tutoring Direct Welcome Package must be received by the 5 th of each month for Tutor to receive on-time payment. No payments will be made until all documents are received;
• Providing Tutoring Direct his/her educational background, work experience and references.   Tutoring Direct will conduct a criminal background check on all Tutors at a cost the first hour of tutoring, to be deducted from Tutor’s first paycheck;
• All taxes and insurance required by law;
• Giving a two-week termination notice.

As a Tutor for Tutoring Direct you WILL:

• Indemnify and hold harmless Tutoring Direct for any liability resulting from personal injury, property damage or monetary loss arising out of or as a result of services rendered as an Independent Contractor;
• Tutoring Direct retains the rights to all clients/students the Tutor rendered services for a period of three years. A break in this agreement will be understood as the purchase of a client buy-out on behalf of the Tutor. Each client buy-out will cost the Tutor $1,000.00.

As an Independent-Contract Tutor for Tutoring Direct you WILL NOT:

• Be entitled to any fringe benefits, such as unemployment insurance, workers compensation, medical insurance, pension plans, or any other such benefits that would be offered to regular employees;
• Accept payment from any client on behalf of Tutoring Direct for any tutor services rendered;
• After termination of this contract, use to Tutor’s own advantage or to the advantage of any other person or company, any information gained for or from the files of Tutoring Direct .

  Tutoring Direct is responsible for:

• Providing the Tutor with clients/students that are best suited to Tutor’s applicable tutoring services;
• Verifying all background information to be truthful and in the best interest of our clients;
• Rendering payment on time to Tutor for sessions completed and accounted for in the “Client Time Schedules”.   As stated, “Client Time Schedules” are due on the 5 th of each month to receive timely payment, whereas payment shall not be rendered until all “Client Time Schedules” are received.

This Agreement:

• Constitutes the entire agreement of the parties with regard to the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral. No amendment, extension, or change of the Agreement shall be binding unless in writing and signed by both parties.
• Shall be binding upon and shall inure to the benefit of Consultant and Company and to the Company's successors and assigns. Nothing in this Agreement shall be construed to permit the assignment by Consultant of any of its rights or obligations hereunder to any third party without the Company's prior written consent.  

The laws of the States of Texas and/or Louisiana shall govern this contract.   In the event any portion of this agreement is found to be void it shall not affect the remaining provisions of said agreement, and such remaining provisions shall remain in effect and be binding on the parties hereto.
